Terms of Service

The agreement between Edunexis Technologies Ltd and the organisations that use Switch Manager Pro.

These Terms of Service (“Terms”) govern use of Switch Manager Pro, provided by Edunexis Technologies Ltd (“we”, “us”). By signing an order, or by accessing or using the platform, the customer (“Customer”, “you”) agrees to these Terms. Where personal data is processed, our Data Processing Agreement also applies and prevails over these Terms for that personal data.

1. The service

Switch Manager Pro is a UK-hosted platform for managing HPE Aruba Networking AOS-S and AOS-CX switches through an agent that runs on the Customer’s own network. It provides configuration backups and comparison, alerts when a configuration changes outside the platform, planned and approved configuration changes (including bulk, scheduled and recurring changes), switch discovery, port and power (PoE) reporting, configuration search, and an offline installer for setting up new switches, among other features.

2. Changes to your switches

  • Every change is shown to you as the exact commands before it runs, and runs only after a person at your organisation approves it. You are responsible for reviewing those commands and deciding whether and when to run them.
  • Some operations can interrupt the network (for example turning ports or PoE off). The platform marks them, and asks for a recorded reason before running one during the school day.
  • Operations we have not yet verified on real hardware for a given switch family are refused rather than sent.
  • Keep an independent way of reaching your switches (for example console access) and your own change-management practices. The platform supports these; it does not replace them.

3. The agent & the offline installer

  • The agent runs on a computer you provide on your network. You are responsible for that computer’s security, availability and updates, and for giving the agent network access to your switches.
  • Each offline installer activation uses one of your organisation’s seats and works on the computer and Windows account it was approved for. It works offline for up to 14 days between renewals. You must not copy or share an activation; we may revoke a seat that is used on more than one computer.

4. Accounts & security

  • You are responsible for your users’ credentials and for activity under your accounts.
  • You decide which of your staff have access and at what level, including whether changes need a second approver.
  • Tell us promptly of any suspected unauthorised access at [email protected].

5. Customer responsibilities

  • Use the platform lawfully, and only for networks you own or are authorised to manage.
  • If you are an IT partner managing networks for your own clients, you must be authorised by each client, you remain responsible to them, and our DPA applies with you as processor and us as your sub-processor.
  • As controller, establish a lawful basis for personal data in your switch configurations and in any searches you run, and give any privacy information required.
  • Keep the switch login details you give us accurate and valid.

6. Acceptable use

You must not, and must not allow anyone to:

  • use the platform unlawfully, or on equipment you are not authorised to manage;
  • attempt to gain unauthorised access to the platform, other customers’ data, or our systems;
  • probe, scan or test the platform’s security without our prior written consent (responsible disclosure to [email protected] is welcome);
  • introduce malware, or interfere with the integrity or performance of the platform;
  • copy, modify, reverse-engineer or decompile the platform, the agent or the installer, except as the law permits;
  • resell or provide the platform to third parties except as agreed with us.

7. Fees & payment

Fees are set out in your order or quote and depend on the size of your estate. Unless stated otherwise, fees exclude VAT, are invoiced in advance, and are payable within the period on the invoice. See Pricing.

8. Data protection

Each party will comply with data protection law. For personal data processed through the platform you are the controller (or, as an IT partner, a processor) and we are your processor, under our Data Processing Agreement. How we handle data for which we are the controller is in our Privacy Policy.

9. Availability & support

We aim to keep the platform highly available and may carry out maintenance, preferably outside the school day. Your switches keep running whether or not the platform is reachable; what pauses is our management of them. Support is by email at [email protected] during UK business hours. We do not warrant that the platform will be uninterrupted or error-free, but we will work diligently to resolve issues.

10. Intellectual property

We and our licensors own the platform, the agent, the installer and the Switch Manager Pro brand. We grant you a non-exclusive, non-transferable right to use them during your subscription. You own your data and configurations, and grant us the rights needed to host and process them to provide the service. We may use feedback to improve the platform without obligation to you.

HPE, Aruba and HPE Aruba Networking are trademarks of Hewlett Packard Enterprise, used only to identify compatible equipment. Switch Manager Pro is an independent product and is not affiliated with, endorsed by, or sponsored by Hewlett Packard Enterprise or Aruba Networks.

11. Confidentiality

Each party will keep the other’s confidential information confidential and use it only to perform this agreement, except where the law requires disclosure. This does not apply to information that is or becomes public through no breach, or is independently developed. Your switch configurations are your confidential information.

12. Warranties & disclaimers

We will provide the platform with reasonable skill and care. Except as expressly stated, and to the fullest extent permitted by law, the platform is provided “as is” and we exclude all other warranties, express or implied.

13. Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.

Subject to that, and to the fullest extent permitted by law:

  • neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data (beyond our data-protection obligations in the DPA);
  • each party’s total liability under or in connection with this agreement in any 12-month period is limited to the fees paid by the Customer in that period.

14. Term, expiry & termination

  • The subscription runs for the term in your order and renews as set out there.
  • If a subscription lapses, making changes stops; you keep read access to your switch list and configuration backups for a period so you are not cut off from your own configurations.
  • Either party may terminate for material breach not remedied within 30 days of written notice, or immediately if the other becomes insolvent.
  • On termination your right to use the platform ends and we delete or return personal data under the DPA (normally within 30 days).

15. Suspension

We may suspend access where necessary to protect the platform or other customers — for example for a serious security risk, unlawful use, or non-payment after notice. We will restore access once the issue is resolved and, where practical, give notice first.

16. Changes to these Terms

We may update these Terms or the platform. We will give reasonable notice of material changes to the Terms that affect you. Continued use after changes take effect is acceptance.

17. General

  • Governing law & jurisdiction: the laws of England and Wales; the courts of England and Wales have exclusive jurisdiction.
  • Assignment: you may not assign these Terms without our consent; we may assign to a successor of our business.
  • Entire agreement: these Terms, your order and the DPA are the entire agreement.
  • Severability: if any provision is unenforceable, the rest remains in force.
  • Force majeure: neither party is liable for failure caused by events beyond its reasonable control.
  • Third parties: no one other than the parties has rights under these Terms.
